NDA and non-circumvention Version 1.1 - Keep the business, the company name and the price confidential. - Deal through tx*. Txfers Pte. Ltd. (in formation) introduces the parties on txacquire. The text below is the confidentiality and non-circumvention agreement for this lane. 1. Confidential information. "Confidential Information" means all information disclosed through txacquire about a business, including identity, company name and owner name, specifications, pricing and the fact that a business may be for sale. 2. Use and disclosure. You will use Confidential Information solely to evaluate a possible transaction and will not disclose it except to advisers who need to know it and are bound by confidentiality. 3. Non-circumvention. For 24 months after an introduction you will not knowingly deal with that counterparty about that business except through tx*. 4. Fee. Posting a mandate is free. If you close a transaction introduced through a mandate, a 3% success fee is due on closing. 5. No agency. tx* introduces parties. It is not a party to the sale. 6. Screening. tx* may decline or pause a mandate or an introduction where sanctions or ownership is unclear. A cleared status is a staff decision, not a warranty. 7. Version. The version stamped on the acceptance record is the text that was hashed.
